1. Scope of Application
These General Terms and Conditions apply to all orders, purchases and deliveries made through the online shop and via the APRO AG website at www.apro-ag.ch
The offer is primarily intended for customers in Switzerland. Deliveries abroad may be possible depending on the product, destination country and availability. For international deliveries, additional shipping costs, import duties, customs duties, taxes or other charges may apply and must be borne by the customer.
Deviating terms and conditions of the customer only apply if they have been expressly confirmed in writing by APRO AG.

3. Products and Offers
APRO AG offers in particular set-top boxes, accessories and related products via the website. In addition, the website may provide information about technical solutions, IPTV applications, provisioning, TVIP products and further documentation.
Product images, technical specifications, descriptions and availability information are provided for informational purposes. Minor deviations in presentation, packaging, technical details or scope of delivery remain reserved, provided they are reasonable for the customer.
The presentation of products in the online shop does not constitute a legally binding offer, but an invitation to place an order. The contract is only concluded when APRO AG accepts the order, ships the goods or expressly confirms the order.
4. Prices and Currency
All prices are shown in Swiss francs (CHF). Display or settlement in other currencies is not intended.
Unless otherwise stated, the prices shown do not include shipping costs.
The prices shown include Swiss statutory VAT where applicable and are subject to additional shipping costs.
Additional shipping costs are displayed during the order process where they can be calculated automatically. For international deliveries, large order quantities or special delivery conditions, an individual shipping cost calculation or prior consultation may be required.
The applicable price is the price displayed in the online shop at the time of the order.
5. Order and Conclusion of Contract
The customer can add products to the cart and complete the order through the checkout.
Before submitting the order, the entered data, products, quantities, delivery information and payment information can be reviewed and corrected.
By submitting the order, the customer makes a binding offer to purchase the products contained in the cart.
An automatic order receipt confirmation only confirms receipt of the order and does not yet constitute binding acceptance, unless acceptance is expressly declared in it.
APRO AG may accept or reject the order or ask questions before acceptance if anything is unclear. Acceptance takes place in particular by express order confirmation, by shipment of the goods or by provision of the ordered service.

The available payment methods are shown in the online shop or during the order process.

APRO AG reserves the right to restrict individual payment methods depending on the customer, order value, delivery address, product availability or credit check.
In the case of advance payment, delivery generally takes place only after payment has been received.
7. Delivery and Shipping
Delivery is made to the shipping address provided by the customer.
Deliveries within Switzerland are generally possible. Deliveries abroad may be possible depending on the destination country, product and shipping options, or may need to be requested individually.
Stated delivery times are non-binding estimates unless a binding delivery date has been expressly agreed in writing.
In the event of delays due to supply shortages, force majeure, transport interruptions, customs processing or other circumstances outside APRO AG’s control, the delivery time shall be extended appropriately.
Partial deliveries are permitted where they are reasonable for the customer.
8. International Deliveries, Customs and Import Charges
For deliveries outside Switzerland, additional costs may arise, in particular customs duties, import taxes, charges, processing fees or other country-specific costs.
These costs are not included in the product price and must be borne by the customer unless expressly agreed otherwise.
The customer is responsible for informing themselves before placing an order about any import regulations and charges in the destination country.
9. Retention of Title
The delivered goods remain the property of APRO AG until full payment has been made.
APRO AG is entitled to have a corresponding retention of title registered where this is provided for or required by law.
10. Inspection of Goods
The customer is obliged to inspect the delivered goods as soon as possible after receipt.
Obvious transport damage, incorrect deliveries or missing items must be reported to APRO AG as soon as possible after receipt of the delivery.
If transport damage is identified, the packaging should be kept and the damage documented.
11. Returns and Exchanges
Under Swiss law, there is no automatic general statutory right of withdrawal or return. APRO AG may voluntarily allow returns or exchanges.
Customers may return unused, complete and undamaged standard products within 14 days of receipt after contacting us in advance. The goods must be returned in their original packaging. Products that have been opened, used, damaged, specially procured, individually configured or provided specifically for a customer may be excluded from returns.
The customer bears the cost of return shipping unless expressly agreed otherwise or unless the return is due to an error by APRO AG.
12. Gewährleistung
The statutory warranty provisions apply unless they have been lawfully modified or excluded.
APRO AG may, at its own discretion, replace defective goods, repair them, grant a price reduction or refund the purchase price.
Excluded from warranty are damages caused by improper use, incorrect installation, interventions by third parties, unsuitable software, incorrect configuration, external influences, wear and tear or use other than intended.
APRO AG only provides warranty for compatibility with third-party software, external IPTV systems, customer-owned networks, middleware, apps, network infrastructures or individual configurations if this has been expressly confirmed in writing.
13. Technical Information, Wiki and Support
The APRO AG website and wiki may contain technical information, instructions, examples and notes. This information is provided for support and orientation.
APRO AG makes every effort to provide correct and up-to-date information, but does not guarantee that technical notes will work in every individual environment without adaptation.
Support, installation, provisioning, configuration or project services are only owed if they are expressly part of the order or a separate agreement.
14. Software, Digital Content and Configurations
Where APRO AG offers software, digital content, configuration files, templates or similar services, the respective product descriptions or licence terms also apply.
Digital content, software, customer-specific configurations or downloads already provided may be excluded from returns if this is stated in the respective offer or follows from the nature of the service.
15. Liability
APRO AG is liable for direct damages only in cases of intentional or grossly negligent breach of duty, to the extent permitted by law.
Liability for indirect damages, consequential damages, loss of profit, data loss, business interruptions, configuration errors, compatibility problems with third-party systems or damages caused by improper use is excluded to the extent permitted by law.
Mandatory statutory liability provisions remain reserved.

Personal data is processed in accordance with APRO AG’s Privacy Policy.

19. Applicable Law and Place of Jurisdiction
Swiss law applies, excluding conflict-of-law provisions.
The place of jurisdiction is, to the extent permitted by law, the registered office of APRO AG.
20. Final Provisions
If individual provisions of these Terms and Conditions are or become invalid in whole or in part, the validity of the remaining provisions shall remain unaffected.
In place of the invalid provision, a legally permissible provision shall apply that comes as close as possible to the economic purpose of the invalid provision.
